Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

  • Agreement means these Terms and Conditions, including any documents expressly incorporated by reference, which govern Your access to and use of the Service and form the entire agreement between You and the Company regarding the Service.

  • Client means any individual or organization that engages Property View LLC for 3D property scanning services.

  • Company (referred to as either "the Company", "We", "Us" or "Our" in these Terms and Conditions) refers to Property View LLC, a California limited liability company.

  • Content means any information, images, videos, text, data, and materials displayed on the Service or provided as part of our scanning services.

  • Country refers to: California, United States

  • Device means any device that can access the Service such as a computer, a cell phone or a digital tablet.

  • Deliverables means the completed 3D digital twin files, Matterport tours, images, videos, and other project outputs provided to the Client upon completion of a scanning project.

  • Intellectual Property Rights means all patents, copyrights, designs, trademarks, trade secrets, and all other intellectual property rights in any jurisdiction.

  • Project means a specific engagement for 3D property scanning services, including all related work, data collection, processing, and delivery of Deliverables.

  • Scan Data means 3D digital twin files, point clouds, images, videos, LiDAR data, metadata, and all information collected or created during a scanning Project.

  • Service refers to the Website, 3D property scanning services, digital twin creation, consultation, and all related services offered by Property View LLC.

  • Third-Party Social Media Service means any services or content (including data, information, products or services) provided by a third party that is displayed, included, made available, or linked to through the Service.

  • Website refers to Property View, accessible from https://propertyview3d.com/

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service and any Projects engaged.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, potential clients, and others who access or use the Service or engage our scanning services.

By accessing or using the Service or engaging Property View LLC for scanning services, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service or engage our services.

You represent that you are over the age of 18 and possess the legal capacity to enter into binding agreements. The Company does not permit those under 18 to use the Service or engage our services.

Your access to and use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information. Please read Our Privacy Policy carefully before using Our Service or providing any information to us.

Service Description

3D Property Scanning Services

Property View LLC provides professional 3D property scanning and digital twin creation services to clients including architects, engineers, real estate professionals, contractors, and property owners. Our services include:

  • On-site 3D LiDAR scanning and property documentation
  • 3D point cloud processing and digital twin creation
  • Matterport tour creation and hosting
  • Property measurement and spatial analysis
  • Project consultation and technical support

Service Availability and Scope

All scanning services are provided on a project-by-project basis as outlined in separate service agreements, proposals, or statements of work. Specific project scope, deliverables, timeline, and pricing are determined by mutual written agreement between the Client and the Company prior to project commencement.

The Company reserves the right to refuse or terminate service to any client who violates these Terms and Conditions or engages in conduct the Company deems inappropriate or harmful.

User Responsibilities and Conduct

Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Property View’s Website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license You may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to reverse engineer any software contained on the Website
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server
  • Use automated tools to access, download, or scrape Website content without permission

Client Responsibilities for Scanning Projects

When engaging Property View LLC for scanning services, the Client agrees to:

  • Property Access: Grant Company personnel safe and adequate access to all areas of the property to be scanned, including providing keys, access codes, or other necessary access arrangements.
  • Safety Compliance: Provide accurate information about any hazardous conditions, restricted areas, or safety concerns on the property. Ensure the property and surrounding area are safe for Company personnel to work.
  • Third-Party Authorization: Obtain all necessary permissions and consents from third parties (property owners, landlords, tenants, neighbors, etc.) to allow Company to scan the property and capture surrounding areas visible in the scans.
  • Legal Compliance: Ensure that Client has the authority to engage these services and that no laws, regulations, or agreements prohibit the property scanning or use of resulting Deliverables.
  • Accurate Information: Provide accurate property information, access instructions, and project requirements to ensure successful project completion.
  • Payment: Pay all invoices in accordance with the terms specified in the separate Project agreement or invoice.

Ownership and Intellectual Property Rights

Deliverables Ownership

Upon full payment, the Client receives a non-exclusive, royalty-free license to use the Deliverables (completed 3D scans, Matterport tours, images, and videos) for the Client’s own use in connection with the scanned property, including:

  • Real estate marketing and listing purposes
  • Architectural and design documentation
  • Construction project management
  • Insurance and legal documentation
  • Property valuation and appraisal
  • Personal property documentation

Company IP Rights

Property View LLC retains ownership of:

  • Our scanning methodology, equipment, software, and processes
  • The Website and all Website content
  • All trademarks, logos, and brand materials
  • Any general techniques, methodologies, or insights developed during the Project
  • Anonymized project data and analytics

Portfolio and Case Study Use

Unless Client provides explicit written consent, Property View LLC may:

  • Use anonymized Scan Data and metrics for case studies, portfolio examples, or marketing materials
  • Refer to Client as a past client in our portfolio or marketing materials
  • Use general project statistics (number of properties scanned, average project timelines, etc.) in marketing
  • Display Deliverables in our portfolio with personally identifying information, property addresses, and sensitive details blurred or removed

Clients who wish to prohibit any use of their project in our portfolio or marketing must provide explicit written notice at the time of project engagement. Clients may request removal of their project from our portfolio at any time by contacting us.

Project Agreements and Pricing

Project Scope and Proposals

Specific project details including scope, deliverables, timeline, and pricing are outlined in separate written proposals, service agreements, or statements of work. In the event of any conflict between these Terms and Conditions and a Project-specific agreement, the Project-specific agreement shall control.

Payment Terms

Unless otherwise specified in a Project agreement:

  • Deposit: 35% non-refundable deposit due upon project acceptance to confirm the booking
  • Approval Payment: 35% due upon Client review and approval of preliminary deliverables
  • Final Payment: 30% due upon final delivery of all Deliverables
  • Late Payments: Payments not received within 15 days of invoice due date may incur a 1.5% monthly interest charge (18% annually) and may result in suspension of services or withholding of final Deliverables

Pricing and Changes

Pricing is based on the scope outlined in the Project proposal. Additional services, scope changes, or unforeseen complications may result in additional charges. The Company will provide a revised quote and obtain Client approval before proceeding with any work beyond the originally agreed scope.

Cancellation and Refunds

Client-Initiated Cancellation:

  • Cancellation 14+ days before scheduled scan date: Full refund of deposit, minus 10% processing fee
  • Cancellation 7-14 days before scan date: 50% refund of deposit
  • Cancellation less than 7 days before scan date: Deposit is forfeited
  • Cancellation after scan has been completed: Full payment due for services rendered

Company-Initiated Cancellation: If the Company cancels a Project due to Company error or inability to perform, full payment shall be refunded.

Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Matterport Terms

Many of our Deliverables are hosted on the Matterport platform. Your use of Matterport tours and features is subject to Matterport’s Terms of Service and Privacy Policy. Property View LLC is not responsible for Matterport’s service availability, changes to their platform, or compliance with their terms.

Links from a Third-Party Social Media Service

The Service may display, include, make available, or link to content or services provided by a Third-Party Social Media Service. A Third-Party Social Media Service is not owned or controlled by the Company, and the Company does not endorse or assume responsibility for any Third-Party Social Media Service.

You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with Your access to or use of any Third-Party Social Media Service, including any content, goods, or services made available through them. Your use of any Third-Party Social Media Service is governed by that Third-Party Social Media Service’s terms and privacy policies.

Termination and Suspension

The Company may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You:

  • Breach these Terms and Conditions
  • Engage in conduct that the Company deems inappropriate, harmful, or in violation of applicable law
  • Fail to pay invoices according to agreed payment terms
  • Provide false or misleading information
  • Violate the intellectual property rights of the Company or third parties
  • Use the Service for illegal purposes or to harm others

Upon termination, Your right to use the Service will cease immediately. For Projects in progress, termination may result in forfeiture of fees paid and withholding of final Deliverables until all outstanding balances are paid.

Limitation of Liability

Liability Cap

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You for the specific Service or Project giving rise to the claim, or $100 USD if no payment has been made.

Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy, loss of use of Scan Data, delays in project delivery, or any claim arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, Matterport services, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

State-Specific Limitations

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

Specific Service Disclaimers

For 3D scanning services specifically, the Company makes no warranty that:

  • The Scan Data will meet Client’s requirements or intended results
  • The Deliverables will be compatible with all software applications or systems
  • The Service will achieve 100% accuracy in measurements or 3D representation
  • The Service will operate without interruption or delays
  • Weather conditions, property conditions, or unforeseen circumstances will not impact the scanning process
  • Any errors or defects in the Deliverables can or will be corrected
  • Matterport services will remain available, unchanged, or compatible with Client’s systems

General Service Disclaimers

Without limiting the foregoing, neither the Company nor any of the company’s providers makes any representation or warranty of any kind, express or implied:

  • (i) As to the operation or availability of the Service, or the information, content, and materials or products included thereon
  • (ii) That the Service will be uninterrupted or error-free
  • (iii) As to the accuracy, reliability, or currency of any information or content provided through the Service
  • (iv) That the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components

Jurisdiction-Specific Disclaimers

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms and Conditions
  • Your use of the Service or engagement of our scanning services
  • Your breach of any law or third-party rights
  • Any claim that you had authority to authorize scanning of a property or to use the Deliverables
  • Any third-party claim related to Content you provide or information you furnish

Data Security and Responsibility

Client Data and Access

The Client is responsible for:

  • Maintaining the confidentiality of any login credentials or access information provided
  • Controlling access to Deliverables and Scan Data through Matterport’s access controls and sharing settings
  • Notifying the Company immediately of any unauthorized access or security concerns
  • Ensuring that use of Deliverables complies with all applicable laws and third-party rights

Company Security Measures

The Company implements industry-standard security measures to protect Scan Data and Client information, including encryption, access controls, and regular security audits. However, no security system is impenetrable, and the Company cannot guarantee absolute security of any data. For detailed information on how we protect your data, please review our Privacy Policy.

Governing Law

These Terms and Conditions and Your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Your use of the Service may also be subject to other local, state, national, or international laws.

Jurisdiction and Venue

You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in California for any dispute or claim arising out of or related to these Terms and Conditions or the Service. You consent to the personal jurisdiction of these courts and waive any objection based on inconvenient forum.

Disputes Resolution

If You have any concern or dispute about the Service or a Project, You agree to first try to resolve the dispute informally by contacting the Company at contact@propertyview3d.com or (619) 885-6880 within 30 days of the issue arising.

If informal resolution is unsuccessful, the parties agree to attempt resolution through mediation before pursuing litigation or arbitration. Either party may initiate mediation by providing written notice to the other party.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident. Nothing in these Terms and Conditions removes or limits the mandatory consumer protections provided by EU law.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. For Project-specific work, changes to these general Terms will not affect ongoing Projects governed by separate Project agreements.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.

Entire Agreement

These Terms and Conditions (together with any Project-specific agreements, proposals, or statements of work) constitute the entire agreement between You and the Company regarding the Service and supersede all prior agreements, understandings, and negotiations regarding the subject matter. No representation, warranty, or agreement has been made except as expressly set forth herein.
